1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and HotClub Dating Inc., a corporation doing business as Faithfully ("Company," "we," "us") for the use of the Faithfully mobile application and web application (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this EULA.

This EULA is in addition to our Terms & Conditions, which govern your use of the Service. Where this EULA and the Terms & Conditions conflict, the Terms & Conditions control.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device you own or control, for your own use in accordance with our Terms & Conditions.

This license permits you to use the App for its intended purpose, including creating and managing agreements that involve money — such as loans, leases, and service arrangements — whether or not those agreements are personal or business in nature.

3. License Restrictions

You agree not to:

• Copy, modify, or distribute the App or any portion of it.

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.

• Rent, lease, lend, sell, sublicense, or transfer the App to any third party.

• Remove, alter, or obscure any proprietary notices in the App.

• Use the App in any way that violates applicable laws or regulations.

• Resell, white-label, or otherwise commercially exploit the App itself, or offer it as a service to others, without our prior written consent.

• Create derivative works based on the App.

• Use any automated system or software to extract data from the App ("scraping"), except through an interface we expressly provide for that purpose.

4. Ownership

The App, including all content, features, code, graphics, and intellectual property, is owned by HotClub Dating Inc. d/b/a Faithfully and is protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any ownership rights to the App.

5. In-App Payments

The App facilitates financial transactions between users through Stripe. By using the payment features:

• You acknowledge that Faithfully charges platform fees as described in Section 4 of our Terms & Conditions, which currently include a flat $10.00 activation fee per agreement, a 1.5% transaction fee with a $1.50 minimum on each payment, a returned payment fee of up to $15.00, and a monthly minimum platform fee of up to $2.50 for users who receive payments. The Terms & Conditions are the authoritative statement of fees.

• You authorize ACH debits as described in those Terms.

• You agree to Stripe's terms of service for payment processing.

• You understand that Faithfully is not a bank, financial institution, escrow agent, or money transmitter, and does not hold user funds.

6. User-Generated Content

You retain ownership of any content you create or upload through the App, including agreements, evidence, and documents. By uploading content, you grant Faithfully a limited license to store, process, and display that content as necessary to provide the Service. This license continues for as long as we are required to retain the content under our Privacy Policy or applicable law, including tax and recordkeeping obligations.

7. Privacy

Your use of the App is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FAITHFULLY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

FAITHFULLY DOES NOT PROVIDE LEGAL ADVICE. AGREEMENTS CREATED THROUGH THE APP ARE BETWEEN THE PARTIES, AND FAITHFULLY MAKES NO REPRESENTATIONS REGARDING THEIR LEGAL ENFORCEABILITY IN ANY JURISDICTION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAITHFULLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP. FAITHFULLY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

This EULA is effective until terminated. We may terminate this EULA at any time if you fail to comply with its terms. Upon termination:

• Your license to use the App is immediately revoked.

• You must delete all copies of the App from your devices.

• Provisions of this EULA that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

Termination of this EULA does not by itself terminate any agreement you have entered into with another user, or discharge amounts you owe under one.

11. Updates

We may release updates to the App from time to time. Some updates may be required for continued use of the Service. Your continued use of the App after an update constitutes acceptance of the updated EULA if changes are made.

12. Export Compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable U.S. and foreign export control laws in your use of the App.

13. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following applies. In this Section, "Apple" means Apple Inc. and its subsidiaries.

• Acknowledgment. This EULA is between you and Faithfully only, not Apple. Faithfully, not Apple, is solely responsible for the App and its content.

• Scope of License. The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

• Maintenance and Support. Faithfully is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.

• Warranty. Faithfully is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.

• Product Claims. Faithfully, not Apple, is responsible for addressing any claims relating to the App or your possession or use of it, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

• Intellectual Property Rights. In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, Faithfully, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.

• Third Party Terms. You must comply with applicable third-party terms of agreement when using the App.

• Third Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple has the right — and is deemed to have accepted the right — to enforce this EULA against you as a third-party beneficiary.

14. Google Play Store Additional Terms

If you downloaded the App from the Google Play Store:

• This EULA is between you and Faithfully, not Google.

• Google has no obligation to provide maintenance or support for the App.

• Google is not responsible for any claims related to the App.

• Your use of the App must comply with the Google Play Terms of Service.

15. Governing Law

This EULA is governed by the laws of the State of California, without regard to conflict of law provisions. The dispute resolution and arbitration provisions in our Terms & Conditions apply to this EULA.

16. Severability and Entire Agreement

If any provision of this EULA is held unenforceable, the remaining provisions remain in full force. This EULA, together with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and Faithfully regarding the App.
